WE COLLECT THE FOLLOWING INFORMATION

The information you provide:

When a Subscriber registers for the Service, we require a first and last name, company name, e-mail, and phone number. After the initial registration, the Subscriber’s designated Client Administrator can share additional end user information with Simplerity Inc. in order to enable those end users to use the Service, and Simplerity Inc. never directly collects any end-user information, personal or otherwise, without the explicit direction of the Client Administrator. Subscribers are responsible for providing notice to end users concerning the information they collect and share with Simplerity Inc. as part of their use of the Service.

Data Storage:

When a Subscriber uses the Service, the Subscriber uploads data on the data storage. The access to such storage is granted by Simplerity Inc. But ownership to these storages belongs to Simplerity Inc. partners. Simplerity Inc. provides you with access to the data storage on the basis of this Privacy Policy and the Terms of Service.

Cookies:

When you visit the Website or use the Service, we use session “cookies” – a piece of information stored on your computer – to allow the Website or Service to uniquely identify your browser while you are logged in and to enable Simplerity Inc. to process your online transactions. We do not link the information we store in cookies to any personally identifiable information you submit while using the Website other than the e-mail address you provide. Session cookies also help us verify your identity and are required in order to use the Service. Simplerity Inc. uses persistent cookies, that only Simplerity Inc. can read and use, to identify you as a valid user of a Simplerity Inc. Subscription plan and make it easier for you to log in to the Service. Analytical cookies and similar technologies are also used to allow Simplerity Inc. to recognize how visitors move around the Website and the Service when they’re using it. We use this information, which is aggregated and does not uniquely identify end users, to analyze trends, to troubleshoot the Website and Service, to track end users’ movements while on the site and to gather demographic information about our user base as a whole. Various browsers may offer their own management tools for removing these types of tracking technologies. This helps us improve the overall user experience. Clear Gifs:

We also use third party advertising and tracking tools that employ a software technology called clear gifs (a.k.a. Web Beacons/Web Bugs), to help us better manage content on our site by informing us what content is effective. Clear gifs are tiny graphics with a unique identifier, similar in function to cookies, and are used to track the movements of the visitors to our Web site. In contrast to cookies, which are stored on a user’s computer hard drive, clear gifs are embedded invisibly on Web pages and are about the size of the period at the end of this sentence. We tie the information gathered by clear gifs to our Visitors and Subscribers in order to optimize and enhance the Website and Service experience. We use clear gifs in our HTML-based e-mails to let us know which e-mails have been opened by recipients. Log Files:

As is true of most Web sites, our third-party utility-tracking partners and we gather certain information automatically and store it in log files. HTML5:

Third Parties, with whom we partner to provide certain features on our site or to display advertising based on your Web browsing activity, use local storage objects (HTML5) to collect and store information. Simplerity Inc. uses remarketing on the Website with Google Analytics and/or services like AdRoll to advertise online. Third-party vendors, including Google, show our ads on sites across the Internet. Simplerity Inc. and third-party vendors, including Google, use first-party cookies (such as the Google Analytics cookie) and third-party cookies (such as the DoubleClick cookie) together to inform, optimize, and serve ads based on your past visits to our website. You can opt-out of Google Analytics for Display Advertising and customize Google Display Network ads using Google’s Ads Preferences Manager.

YOU CAN ACCESS AND UPDATE YOUR INFORMATION AS FOLLOWS

INFORMATION THAT WE SHARE WITH THIRD PARTIES

Simplerity Inc. uses a third party intermediary to perform credit card processing or other payment processing when registering for the paid Subscription plans of the Service. This intermediary is not permitted to store, retain, or use your billing information except for the sole purpose of credit card processing on Simplerity Inc. behalf.

Simplerity Inc. may also transmit, but does not share, personal information and/or data to its third party vendors and the hosting partners that provide the necessary hardware, software, networking, storage, and other technology and maintenance services required to operate and maintain the Website and the Service. Transfers to subsequent third parties are covered by the provisions in this Policy regarding notice and choice and the service agreements with our clients. This may require that your personal information is transferred from your current location to the offices and servers of Simplerity Inc. and these authorized third parties. Simplerity Inc. will obtain assurances that such third parties will safeguard your personal information in a manner consistent with this Privacy Policy and will transmit personal information only for limited and specific purposes.

WE MAY DISCLOSE INFORMATION IN THE FOLLOWING CASES

Our Web site includes Social Media Features, such as the Facebook and Twitter buttons and Widgets, such as the Share this button or interactive mini-programs that run on our site. These Terms of Service shall apply to your use of the web-based single sign-on services provided by Simplerity Inc. (“Simplerity Inc.”, and such services, the “Service”). These Terms of Service represent the parties’ entire understanding regarding the Service.

MODIFICATION

Simplerity Inc. reserves the right to update and change these Terms of Service from time to time without notice. Any new features that augment or enhance the current Service, including the release of new tools and resources, shall be subject to these Terms of Service. Continued use of the Service after any such changes shall constitute your consent to such changes. ACCESS TO SERVICES

Subject to the terms and conditions of these Terms of Service, for so long as you have an active account for the Service, Simplerity Inc. hereby grants you the limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service solely for your internal business operations. You will be responsible for maintaining the security of your equipment and account access passwords and will use reasonable efforts to prevent any unauthorized use of the Service and immediately notify Simplerity Inc. in writing of any unauthorized use that comes to your attention. If there is unauthorized use by anyone who obtained access to the Service directly or indirectly through you, you will take all steps reasonably necessary to terminate the unauthorized use. You will be responsible and liable for all activity conducted through your users’ accounts. You will cooperate and assist with any actions taken by Simplerity Inc. to prevent or terminate unauthorized use of the Service.

PAYMENTS

The Service can be paid by a valid credit card or other ways as defined by Simplerity Inc. The Service is billed in advance on a monthly or annual basis and is non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an active account. All fees are exclusive of all taxes, levies or duties imposed by taxing authorities and you shall be responsible for payment of all such taxes, levies or duties. If payment of any fees is not made when due and payable, a late fee will accrue at the rate of the lesser of [insert a penalty amount] per month or the highest legal rate permitted by law. Downgrading your account may cause loss of content, features or capacity. Simplerity Inc. does not accept liability for such loss.

Without prejudice to the generality of the foregoing, you are entitled to a free trial access to the Service during the beta-period set by the Simplerity Inc. Simplerity Inc. reserves the right to remove or cancel the free trial access to the Service at any time.

MODIFICATIONS TO THE SERVICE AND PRICES

Simplerity Inc. reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. Prices of all Services, including but not limited to monthly subscription plan fees to the Service, are subject to change upon 30 days notice from us. Such notice may be provided at any time by posting the changes to the Simplerity Inc. website or the Service itself. Simplerity Inc. shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.

USE OF SERVICE

When you create an account with Simplerity Inc., you must provide Simplerity Inc. information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms of Service, which may result in immediate termination of your account on the Service.

You will not, and will not permit or authorize third parties to (a) rent, lease or otherwise permitting third parties to use the Service; (b) use the Service to provide services to third parties; (c) breach, circumvent, tamper with or disable any security or other technological features or measures of the Service; (d) attempt to probe, scan or test the vulnerability of any systems related to the Service, including penetration or load tests; or (e) attempt to discover the underlying structure, technology or algorithms of the Service.

The Service and any related software are subject to applicable export control laws and regulations. You agree to comply strictly with all such laws and regulations as they relate to the Service and such software, and, to the extent consistent with this Terms of Service, to obtain any necessary license or other authorization to export, re export, or transfer the Service or such software when required. You agree to use the Service in compliance with all other applicable laws and to indemnify and hold Simplerity Inc. and its affiliates and their officers, employees, directors and agents harmless from any from any and all losses, damages, expenses, including reasonable attorneys’ fees, rights, claims and actions of any kind arising out of or relating to your use of the Service or your violation of these Terms of Service. You will not have any rights to the Service except as expressly granted in this Terms of Service. Simplerity Inc. reserves to itself all rights to the Service not expressly granted to you in accordance with these Terms of Service.

BETA SERVICES

Simplerity Inc. sometimes releases products and features that we are still testing and evaluating. Those Services have been marked beta, preview, early access, or evaluation (or with words or phrases with similar meanings) and may not be as reliable as Simplerity Inc.’s other services, so please keep that in mind.

During the beta-period, you are entitled to a free trial access to the Service’s products and features that are marked beta, preview, early access or evaluation. Simplerity Inc. sets the beta period until the further notice thereby you will be informed of the end of the free trial period. Simplerity Inc. reserves the right to remove or cancel the free trial access to the Service at any time

DEACTIVATION AND TERMINATION

You are solely responsible for properly deactivating your account. An e-mail or phone request to deactivate your account is not considered deactivation. You can deactivate your account at any time via [Settings>Account Settings]. All information or other content that you upload to the Service (“Content”) will be immediately deleted from the active and passive instances of the Service upon deactivation, and any archived Content, including backups and log files, will be deleted within thirty (30) days thereafter. However, this information cannot be recovered once your account is deactivated. If you deactivate the Service before the end of your current paid up month, your deactivation will take effect immediately and you will not be charged again.

Simplerity Inc., in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Service for any reason at any time, including your active or passive attempts at disrupting the Services or disrupting the use of the Service by others. Such termination of the Service will result in the suspension or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all Content in your Account. Simplerity Inc. reserves the right to refuse service to anyone for any reason at any time. Except for paying accounts, if you stop using the Service for more than [3 consecutive months], your accounts may also be terminated.

The terms and conditions in the sections titled “Payment”, “Use of Service”, “Feedback”, “Deactivation and Termination”, “Disclaimer”, “Limitation of Liability”, “Governing Law” and “Miscellaneous” will survive any termination or expiration of your accounts.

INTELLECTUAL PROPERTY

Simplerity Inc. owns all Intellectual Property rights in the products, company branding and of the Service, as between us and you.

Intellectual Property includes, but is not limited to, all present and future rights to intellectual property including inventions and improvements, trademarks (whether registered or common law trademarks), copyright, patents, designs, any corresponding property rights under the laws of any jurisdiction; all rights in respect of a discovery, trade secret, invention, secret process, know-how, concept, idea, information, process, data, formula, or work product; and all work products developed in whole or in part by Simplerity Inc..

THE SERVICE IS PROVIDED ON AN “AS-IS” BASIS AND Simplerity Inc. DISCLAIMS ANY REPRESENTATION OR WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED (EITHER IN FACT OR BY OPERATION OF LAW), OR STATUTORY, AS TO ANY MATTER WHATSOEVER. Simplerity Inc. EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, ACCURACY, TITLE, AND NON-INFRINGEMENT. Simplerity Inc. DOES NOT WARRANT THAT THE SERVICE IS ERROR-FREE OR THAT OPERATION OF THE SERVICE WILL BE SECURE OR UNINTERRUPTED.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Simplerity Inc., ITS AFFILIATES, DIRECTORS, EMPLOYEES OR ITS LICENSORS BE LIABLE FOR (A) ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR BUSINESS OR OTHER INTANGIBLE LOSSES, OR THE COST OF PROCUREMENT OF SUBSTITUTE GOODS, SERVICE OR TECHNOLOGY, (B) ANY MATTER BEYOND ITS REASONABLE CONTROL OR (C) ANY AMOUNTS THAT EXCEED THE FEES PAID BY YOU FOR THE SERVICE IN THE PRECEDING 12 MONTHS. RELIABILITY OF SERVICE

Simplerity Inc. provides connectors that interact with third-party applications whose vendors Simplerity Inc. may or may not have a commercial or contractual relationship with. Simplerity Inc. continuously monitors the working condition of these connectors and is committed to resolving any issues that may arise from a vendor changing the login procedure of its application. You understand that Simplerity Inc. is not liable or can be held responsible for any changes in third-party applications and interoperability can be broken temporarily or permanently. Furthermore, Simplerity Inc. has no commitment to ensuring the working condition of any custom connectors built by you.

The Service is controlled from its offices in the United States and operated from independent facilities in the United States and the European Union. Simplerity Inc. makes no representations that the Service is appropriate or available for use in other locations. Those who access or use the Service from other jurisdictions do so at their own volition and are entirely responsible for compliance with local law, including but not limited to export and import regulations. Unless otherwise explicitly stated, all materials found on the Service are solely directed to individuals, companies, or other entities located in the U.S. and the European Union.

SECURITY

We have implemented commercially reasonable technical and organizational measures designed to secure your personal information and Content from accidental loss and from unauthorized access, use, alteration or disclosure. However, we cannot guarantee that unauthorized third parties will never be able to defeat those measures or use your personal information and Content for improper purposes. You acknowledge that you provide your personal information at your own risk.

ASSIGNMENT

These Terms of Service and any rights and licenses granted hereunder may not be transferred or assigned by you, but may be assigned by Simplerity Inc. without restriction.

GOVERNING LAW

These Terms of Service shall be governed by the laws of the State of Delaware without regard to the principles of conflicts of law. You hereby expressly agree to submit to the exclusive personal jurisdiction of the federal and state courts located in Lewes, Delaware, for the purpose of resolving any dispute relating to your access to or use of the Service.

FEEDBACK

If you provide any feedback to Simplerity Inc. concerning the functionality and performance of the Service (including identifying potential errors and improvements), you hereby assign to Simplerity Inc. all rights, title, and interest in and to the feedback, and Simplerity Inc. is free to use the feedback without payment or restriction.

MISCELLANEOUS

The terms and conditions of these Terms of Service are severable. If any provision of these Terms of Service is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms of Service will otherwise remain in full force and effect and enforceable. Both parties agree that these Terms of Service are the complete and exclusive statement of the mutual understanding of the parties and supersede and cancel all previous written and oral agreements, communications and other understandings relating to the subject matter of these Terms of Service, and that all waivers and modifications must be in a writing signed by both parties, except as otherwise provided herein. No agency, partnership, joint venture, or employment is created as a result of these Terms of Service and a party does not have any authority of any kind to bind the other party in any respect whatsoever. You acknowledge that any unauthorized use of the Service will cause irreparable harm and injury to Simplerity Inc. for which there is no adequate remedy at law.
